The following paragraphs describe the legalities of how you engage with Odirect and its online media; what your rights and responsibilities are and what you get or will get from Odirect. It is presumed for these terms and conditions that you as a user are only able to view and interact with one website or piece of online media at a given instant.

www.odirect.com (website), ShopSquares and TradeSquares are brands of Odirect. Odirect provides services to the following websites (https://www.odirect.com, https://www.cd1.co.uk, https://www.freetravelguide.co.uk) so that they and their users can benefit from the services provided by Odirect. All use of the website and use of booking services is on the terms and conditions below. Whichever website you are viewing or interacting with shall be meant by the word 'website'. If you do not agree to these terms and conditions or you do not knowingly understand these terms and conditions you should stop using the website and all other media provided by Odirect immediately.

• INTELLECTUAL PROPERTY, COPYRIGHT and TRADEMARKS
Odirect and its corporate logos on the website and in PDF document are our trademarks. You may not use those trademarks without our written consent. Odirect is a not a publisher of content. It is a distributor of electronic content supplied by third parties of the Odirect website. The content is distributed electronically on request by the use of hyperlinks. We provide information on the Odirect website free of any charge. The information provided on the website is provided on the basis of no liability for the information given. The materials on the website may not be retrieved and downloaded. No use may be made of the information contained on the website for commercial gain, either directly or indirectly, except for the owner or owners of a business. • RESERVATIONS/BOOKINGS
Odirect operates as an agent for third party venues (the hotels, restaurants and health venues on our site). This means the contract for any booking(s) is between you and the venue; not between Odirect and yourself. There will probably be other terms and conditions to the contract (which are only available from the respective venue(s)), as each venue has its own terms and conditions. Whilst we provide details of venues’ respective policies these details are not intended to be a full list of the terms and conditions of any venue. When you make a booking a legally binding agreement is made when you click the "Book Now" or "Confirm Reservation" button on the website.

The venues listed on Odirect (the hotels, restaurants and health venues) require information in order to process your booking and to notify you of the booking confirmation. When you make your reservation, your name, your postal address, your email address, your credit or debit card number, CVC number and the used card's expiry date are all stored by Stripe (Odirect's payment gateway), or by the third part booking engine of the venue being booked. We require your telephone number so that we and/or the venues’ representatives are able to contact you if there is a question arising about your reservation. Odirect does not process credit card payments for any reservations at any venues. Odirect does not store credit card or debit card information on its servers.

You undertake that the details you provide to Odirect and the venue(s) when you make a booking are correct. You may make a cancellation either by contacting the venue(s) directly with whom you have booked, or by going to the cancellation page shown at the bottom of your confirmatory email. In the event that you use Odirect to cancel your booking we shall inform the venue(s) of the cancellation. The exact time of cancellation is recorded on the Odirect server enabling you and the venue(s) to see when the booking was cancelled. Please be aware that the supplier may impose a cancellation charge depending on how far in advance of the booking you cancel. We accept no liability for any cancellation charges, other than those arising through our failure to make the information of your cancellation available to a venue or venues, within a reasonable time of receiving your notification to cancel.

• BOOKING CONTRACTS
Your contract is with the venue(s) with whom you have booked therefore any enquiries or complaints should be addressed to them. Their entire contact details appear on the e-mail confirmation of the contract we send you and on the Odirect website.

• Third Parties and Software
Odirect does not your grant access to personal information to third parties, where the venue or venues with whom you have booked is party one and Odirect is party two. We do not use any tracking software for information on our website. We do not engage in the use of cookies to track activities on the website. Cookies are only used to store Favourites. (Cookies are small text files stored by your browser which retain and pass back information via the browser to the server. Any piece of information regarding "state" may be stored and retrieved through use of cookies.)

• PAYMENT and PERSONAL DETAILS
In order to make a booking you must be over eighteen years old and have the legal right to make the transaction. You agree that the credit or debit card you are using to make the booking is your own and that there are sufficient funds to cover your transaction(s). You accept financial responsibility for all transactions made under your name or account. Our liability for this booking service is set out in the Liability paragraph below and otherwise in these Terms & Conditions. Your information is held on Odirect's secure database, which uses the latest TLS (Transport Layer Security) encryption algorithm available to us. Designated employees from Odirect, and the venue(s) with whom you have booked have access to your information in order to process your booking. As required by the UK Data Protection Acts of 1984 and 1998 only authorised personnel have access to your information. You may at any time after the period of your booking(s) have your details removed from the database.

• PROPERTIES for SALE and/or LEASE
All properties listed on the Odirect site for lease or for sale are provided as is. The particulars do not form any part of any offer or contract and no person in the employment of Odirect or its associates has any authority to make or to give representation of warranty of any property or properties listed on the site.

• EMAIL
Odirect does not email private individuals in their capacity as private citizens unless they have requested Odirect to do so. Odirect does not share or grant access to email address information or any other information with third parties. No information stored by Odirect allows any party to be personally identified unless they wish to be. As required by the UK Data Protection Acts of 1984 and 1998 only authorised personnel have access to your information. You may at any time have your details removed from the database or opt out of receiving emails (if you have opted to do so).

• LIABILITY
We provide information on the website free of any charge. The information provided on the website is provided on the basis of no liability for the information given. The information on the website does not constitute any form of advice or recommendation and is not intended to be relied upon when considering any decision or decisions. It is for you to make your own judgment about the quality of such providers, and, where you consider appropriate, obtain other sources of information distinct from Odirect. We make no representations that information is accurate and up-to-date or complete and accept no liability for any loss or damage caused by inaccurate information. We do not accept any liability for the quality or type of services or goods provided by the venues included on our website, or to whom we have linked our website. Odirect's total liability to you is limited to the value of the fee charged by Odirect to the venue for your booking, if and when you make a booking.

• DISCLAIMER
Odirect makes no warranties or representations of any kind concerning the accuracy or suitability of the information contained on the website for any purpose. All headings in the Terms & Conditions are for the purpose of guidance alone. All such information is provided "as is" and with specific disclaimer of any warranties of merchantability, fitness for purpose, title and/or non-infringement. Odirect makes no warranties or representations of any kind that the services provided by this website will be uninterrupted , error-free or that the website or the server(s) that hosts the website are free from viruses or other forms of harmful computer code. In no event shall Odirect, its employees or agents be liable for any direct, indirect or consequential damages resulting from the use of the website. This exclusion and limitation only applies to the extent permitted by law and is without prejudice to any express provisions to the contrary in any written licence or subscription agreement from Odirect in respect of the use of any online service provided via this website.

Odirect reserves the right, at its sole discretion, to edit or delete any material submitted by account holders which Odirect considers to be defamatory, unlawful, threatening, inaccurate, obscene or in any way below the levels of decency and quality commensurate with its standards. Notwithstanding the foregoing, Odirect expressly disclaims any responsibility or liability for any material communicated by third parties through its website.

• JURISDISCTION
English law applies to these Terms & Conditions. You agree unconditionally that the courts of England shall have sole jurisdiction to settle any dispute which may arise in association with these Terms & Conditions.
